Dext Perks Program Terms & Conditions

 

 

Please read these Terms and Conditions carefully before accessing or using the Dext Perks Programme. By accessing the Programme Page, clicking on a Partner Offer, redeeming any Benefit, or otherwise participating in the Programme, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree, you must not participate in the Programme.

This Agreement is supplemental to, and does not replace, your existing subscription agreement with Dext governing use of the Dext Platform. Capitalised terms used but not defined herein shall have the meanings ascribed to them in your subscription agreement.

 

1. Definitions

In this Agreement, the following terms shall have the meanings set out below:

"Agreement"

These Terms and Conditions together with any applicable Order Form, Programme Guidelines, or supplementary documents incorporated by reference herein.

"Benefit"

Any discount, credit, cashback, promotional offer, free trial, preferential rate, or other incentive made available to Eligible Customers by a Partner through the Programme.

"Customer" / "You"

The individual, company, or other legal entity that has entered into a subscription agreement with Dext and holds an active Dext account.

"Dext"

Dext Software Limited (and its relevant group entities), a company incorporated in England and Wales.

"Dext Platform"

The software products, services, and associated technology infrastructure provided by Dext under its general terms and conditions.

"Eligible Customer"

A Customer who meets the eligibility criteria set out in Clause 3 of this Agreement.

"Partner"

A third-party company or service provider whose Benefits are made available through the Programme, including but not limited to business banking providers, SMB software vendors, and AI productivity tools.

"Partner Terms"

The separate terms and conditions, privacy policies, and usage rules imposed by each Partner in respect of their Benefits.

“Partner Offer”

"Programme"

The Dext Perks Programme, being the partner discount and benefits initiative described in this Agreement.

"Programme Page"

The dedicated section of the Dext Platform or Dext website through which Benefits are accessed and redeemed.

"Redemption"

The process by which an Eligible Customer claims, activates, or otherwise takes up a Benefit offered through the Programme.

 

2. The Dext Perks Programme

2.1 Programme Overview

The Dext Perks Programme is an exclusive benefits initiative through which Dext makes available, via the Programme Page, a curated selection of discounts, credits, and promotional offers from third-party Partners. The Programme is designed to deliver additional commercial value to Eligible Customers by providing preferential access to complementary products and services that support day-to-day business operations.

2.2 Programme Categories

Benefits available through the Programme may include, but are not limited to, offers from Partners operating in the following categories:

  • Business banking and financial services (e.g. digital business current accounts, corporate charge cards)
  • Small business software and productivity tools (e.g. project management, collaboration, and workflow applications)
  • AI-powered productivity and automation tools
  • Other SMB-focused products and services as determined by Dext from time to time

2.3 Nature of Benefits

Benefits available through the Programme are provided directly by Partners and are subject to each Partner's own terms, conditions, eligibility requirements, and availability. The nature, value, and duration of Benefits will vary by Partner and may include:

  • Percentage discounts on subscription fees or one-time purchases
  • Fixed monetary credits or cashback rewards
  • Extended free trial periods beyond those ordinarily available
  • Preferential interest rates or fee waivers on financial products
  • Bundled service upgrades or enhanced feature access

3. Eligibility

3.1 General Eligibility

To be an Eligible Customer and participate in the Programme, you must satisfy all of the following criteria at the time of Redemption and on a continuing basis:

1. Hold an active, paid Dext subscription account in good standing (i.e. with no outstanding invoices, payment disputes, or ongoing account suspensions);

2. Have accepted the most current version of these Terms and Conditions;

3. Not be in breach of your subscription agreement with Dext or any other agreement with Dext;

4. Be a legal entity or individual legally authorised to enter into binding contracts in your jurisdiction of residence or incorporation;

5. Not be subject to any legal or regulatory prohibition that would prevent you from accessing or using the Benefits offered.

3.2 Partner-Specific Eligibility

Certain Benefits may carry additional eligibility requirements imposed by the relevant Partner (for example, geographical restrictions, business size thresholds, or industry limitations). Such requirements are set out in the applicable Partner Terms and are the sole responsibility of the relevant Partner. Dext does not warrant that any particular Customer will qualify for any specific Benefit.

3.3 Account Eligibility

Access to certain Benefits may be restricted based on the conditions of your account, including (without limitation) your geographical restrictions, industry, or other eligibility criteria determined by Dext from time to times. Where any such conditions apply, they will be clearly indicated on the Programme Page. Dext reserves the right to amend these eligibility criteria at any time in accordance with Clause 11 (Amendments).

3.4 Non-Transferability of Eligibility

Eligibility to participate in the Programme is personal to the Customer and is non-transferable. Benefits must not be shared with, transferred to, or redeemed on behalf of any third party not party to the relevant Dext subscription.

 

4. Accessing and Redeeming Benefits

4.1 Programme Page

The Programme is accessed exclusively through the Programme Page. Dext will provide Eligible Customers with a link to the Programme Page within the Dext Platform interface or via direct communication. Dext may also communicate with Eligible Customers about the Programme, including the availability of new Partner Offers , updates or changes to the Programme, including but not limited to by the Dext Platform, in accordance with applicable law, your marketing preferences, and Dext's Privacy Policy. Dext reserves the right to relocate, redesign, or temporarily take down the Programme Page for maintenance or updates without notice.

4.2 Redemption Process

To redeem a Benefit, Eligible Customers must follow the Redemption steps set out on the Programme Page for each individual Partner. This may include:

  • Clicking a unique tracking link (UTM-tagged) that redirects to the Partner's platform or sign-up page
  • Entering a unique promotional code at checkout on the Partner's platform
  • Verifying your Dext account credentials with the Partner as part of the Partner's onboarding flow
  • Completing the Partner's own registration, verification, or KYC process independently

4.3 One-Time vs. Ongoing Benefits

Some Benefits are one-time offers (e.g. a sign-up credit), while others represent ongoing discounts during an active relationship with the Partner. The Programme Page will clearly indicate the nature and duration of each Benefit. Dext does not control the ongoing delivery of Benefits once a Redemption has been completed.

4.4 Redemption Limits

Unless expressly stated otherwise, each Benefit may only be redeemed once per Customer account. Dext reserves the right to implement additional redemption limits to prevent abuse of the Programme.

4.5 Tracking and Attribution

Dext uses tracking technology (including UTM parameters and cookies) to attribute Redemptions for internal reporting and to facilitate the payment of commissions to Dext by Partners. By redeeming a Benefit, you consent to this tracking in accordance with Dext's Privacy Policy.

 

5. Relationship with Partners

5.1 Independent Partners

Each Partner is an independent third party. Dext acts solely as a facilitator connecting Eligible Customers with Partners and does not act as agent, reseller, or guarantor of any Partner or its products or services. The inclusion of any Partner in the Programme does not constitute an endorsement, recommendation, or warranty by Dext of that Partner's products, services, suitability, or reliability.

5.2 Partner Terms

Your use of any Benefit is governed by the relevant Partner Terms in addition to this Agreement. You must read and agree to the applicable Partner Terms before redeeming any Benefit. In the event of any conflict between this Agreement and the Partner Terms in respect of the Benefit itself, the Partner Terms shall prevail.

5.3 Dext's Limited Role

Dext's obligations under this Agreement are limited to:

  • Making the Programme Page available to Eligible Customers;
  • Notifying Eligible Customers of Benefits as they become available;
  • Providing reasonable liaison with Partners to facilitate the Programme;

Dext shall have no obligation to intervene in, resolve, or otherwise assist with any dispute between a Customer and a Partner arising from or in connection with a Benefit.

5.4 Partner Changes

Partners may amend, suspend, or withdraw their Benefits at any time, including changing the terms under which Benefits are offered, without prior notice to Dext or to Customers. Dext will use reasonable endeavours to keep the Programme Page up to date but cannot guarantee real-time accuracy of Partner Benefit information.

 

6. Commercial Arrangements

6.1 Commission Structure

Dext may receive commercial consideration from Partners (including referral fees, commissions, or revenue share) when an Eligible Customer successfully redeems a Benefit from that Partner. The existence of such commercial arrangements does not affect the Benefits available to you nor the quality or independence of the Dext Platform. Dext is under no obligation to include any particular Partner or Benefit in the Programme.

6.2 No Charges to Customers

Participation in the Programme is provided to Eligible Customers at no additional charge beyond their existing Dext subscription fees. Dext will not charge Customers any fee for accessing the Programme Page or redeeming Benefits.

6.3 Tax

You are solely responsible for determining any tax implications of receiving or redeeming a Benefit in your jurisdiction. Dext makes no representation regarding the tax treatment of Benefits and recommends that you seek independent tax advice if required.

6.4 Programme Promotion

Dext may promote the Programme and available Benefits through various communication and marketing channels, including (without limitation):

(a) the Dext Platform and in-product pages;

(b) Programme or marketing webpages;

(c) email communications, including newsletters;

(d) social media, public relations activities and other promotional channels; and

(e) any other communication channels made available by Dext from time to time.

Such communications will be made in accordance with applicable law, your communication preferences (where applicable) and Dext's Privacy Policy.

 

7. Intellectual Property

7.1 Dext IP

All intellectual property rights in and to the Programme Page, its design, underlying technology, and any original content created by Dext for the Programme are owned exclusively by Dext Software Limited. Nothing in this Agreement grants you any licence or right in respect of such intellectual property other than the limited right to access the Programme Page as an Eligible Customer.

7.2 Partner IP

All trade marks, logos, brand names, and other intellectual property displayed on the Programme Page that relate to a Partner are the property of the relevant Partner. Their display on the Programme Page does not grant you any licence in respect of Partner intellectual property.

7.3 Prohibited Use

You must not reproduce, copy, distribute, or otherwise exploit any content from the Programme Page for commercial purposes without the prior written consent of Dext.

 

8. Data Protection and Privacy

8.1 Dext Privacy Policy

Dext's collection, processing, and use of your personal data in connection with the Programme is governed by Dext's Privacy Policy, which is incorporated into this Agreement by reference. By participating in the Programme, you acknowledge that you have read and understood Dext's Privacy Policy.

8.2 Data Shared with Partners

When you redeem a Benefit, limited information (such as your referral source, account status, account eligibility, anonymised account identifiers, or other tracking data) may be shared with the relevant Partner for the purposes of attribution and commission payment. This data sharing is carried out in accordance with Dext's Privacy Policy and applicable data protection law. Dext will not share your personally identifiable information with Partners without your explicit consent unless required by law or pursuant to a legitimate interest.

8.3 Partner Data Processing

Once you engage directly with a Partner's platform or services, that Partner will process your personal data in accordance with their own privacy policy. Dext is not responsible for the data processing practices of Partners. You are encouraged to review each Partner's privacy policy before completing a Redemption.

8.4 Tracking Technologies

Dext uses cookies and UTM tracking parameters on the Programme Page and in marketing communications related to the Programme. Dext uses cookies and similar tracking technologies on the Programme Page as described in its Cookie Policy. Where required by applicable law, Dext will obtain your consent before placing non-essential cookies. Disabling certain cookies may affect your ability to access or redeem certain Benefits.

. You may withdraw consent by adjusting your browser settings, but doing so may limit your ability to redeem Benefits.

 

9. Disclaimers and Limitation of Liability

9.1 No Warranty in Respect of Benefits

THE PROGRAMME AND ALL BENEFITS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DEXT MAKES NO WARRANTY, EXPRESS OR IMPLIED, WITH RESPECT TO ANY BENEFIT, INCLUDING WITHOUT LIMITATION ANY WARRANTY AS TO THE QUALITY, FITNESS FOR PURPOSE, AVAILABILITY, ACCURACY, OR COMPLETENESS OF ANY BENEFIT OR PARTNER PRODUCT OR SERVICE.

9.2 Partner Conduct

Dext shall not be liable for any act, omission, default, negligence, or wilful misconduct of any Partner, including (without limitation) a Partner's failure to honour a Benefit, withdrawal of a Benefit, change to the terms of a Benefit, or any defect in a Partner's product or service.

9.3 Limitation of Liability

To the fullest extent permitted by law:

  • Dext's total aggregate liability to you under or in connection with this Agreement (whether in contract, tort including negligence, breach of statutory duty, or otherwise) shall not exceed the lesser of: (i) the total subscription fees paid by you to Dext in the one (1) month immediately preceding the event giving rise to the claim; or (ii) £500 (five hundred pounds sterling);
  • Dext shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of revenue, loss of data, loss of goodwill, or business interruption, however caused and on any theory of liability, even if Dext has been advised of the possibility of such damages.

9.4 Exceptions

Nothing in this Agreement shall limit or exclude Dext's liability for: (a) death or personal injury caused by Dext's negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be limited or excluded by applicable law.

 

10. Suspension and Termination

10.1 Suspension or Termination by Dext

Dext may immediately suspend or terminate your access to the Programme, or remove specific Benefits, at any time and without notice if:

  • Your Dext subscription is suspended, cancelled, or terminates for any reason;
  • Dext reasonably suspects you have breached any provision of this Agreement;
  • Dext reasonably suspects abuse, fraud, or misuse of the Programme;
  • A Partner withdraws or suspends the relevant Benefit; or
  • Dext decides to discontinue the Programme (or any part of it) for any reason.

10.2. Effect of Termination

Upon termination of your access to the Programme, you will lose the ability to access the Programme Page and redeem new Benefits. Benefits already redeemed will be subject to the relevant Partner Terms and are unaffected by termination of your Programme access unless the Partner independently terminates your relationship with them.

10.3 Termination by You

You may cease participating in the Programme at any time by ceasing to access the Programme Page. Termination of your Dext subscription shall automatically constitute termination of your Programme participation.

10.4 Discontinuation of the Programme

Dext reserves the right to discontinue the Programme in its entirety at any time. In such circumstances, Dext will endeavour to provide reasonable notice via the Programme Page or by email to your registered Dext account address.

 

11. Amendments to this Agreement

Dext reserves the right to amend these Terms and Conditions at any time. Where changes are material, Dext will provide not less than 14 days' notice by email to your registered Dext account address or by posting a notification on the Programme Page prior to the changes taking effect. Your continued participation in the Programme after the effective date of any amendment constitutes your acceptance of the revised Terms and Conditions. If you do not agree to any amended terms, you must cease participating in the Programme prior to the effective date of the relevant change.

 

12. Prohibited Conduct

In connection with your participation in the Programme, you must not:

  • Attempt to redeem Benefits to which you are not entitled or for which you do not meet the eligibility criteria;
  • Attempt to manipulate, circumvent, or exploit any aspect of the Programme, including through the use of automated tools, bots, scripts, or technical exploits;
  • Attempt to redeem the same Benefit more than once per account (including by creating duplicate accounts);
  • Misrepresent your identity, account status, or subscription tier to obtain access to Benefits;
  • Resell, transfer, or otherwise monetise Benefits for personal gain;
  • Use Benefits for any purpose that is unlawful, fraudulent, or contrary to any applicable regulations;
  • Share your Programme access credentials with any third party;
  • Engage in conduct that damages, disrupts, or impairs the Programme or the Dext Platform.

Any breach of this Clause 12 may result in immediate suspension of your Programme access, termination of your Dext subscription, and the pursuit of civil or criminal remedies as appropriate.

 

13. General Provisions

13.1 Entire Agreement

This Agreement, together with your Dext subscription agreement and any documents incorporated by reference, constitutes the entire agreement between you and Dext with respect to the Programme and supersedes all prior agreements, representations, understandings, or arrangements (whether oral or written) relating to the Programme.

13.2 Severability

If any provision of this Agreement is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be severed and the remaining provisions shall continue in full force and effect.

13.3 Waiver

No failure or delay by Dext in exercising any right, power, or remedy under this Agreement shall operate as a waiver of that right, power, or remedy. Any waiver must be in writing and signed by a duly authorised representative of Dext.

13.4 Assignment

You may not assign, transfer, or sub-licence any of your rights or obligations under this Agreement without the prior written consent of Dext. Dext may assign this Agreement or any of its rights and obligations hereunder to any group company or in connection with a merger, acquisition, or sale of substantially all of its business assets.

13.5 Third-Party Rights

A person who is not a party to this Agreement shall have no rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of this Agreement, except that a Partner shall have the right to rely on Clauses 5 and 7 to the extent necessary to protect its intellectual property and proprietary interests.

13.6 Force Majeure

Dext shall not be in breach of this Agreement or liable for any delay or failure to perform any obligation under this Agreement to the extent that such delay or failure results from events, circumstances, or causes beyond its reasonable control, including (without limitation) natural disasters, acts of government, pandemics, cyberattacks, or telecommunications failures.

13.7 Availability

Dext does not guarantee that any Benefit will remain available for any minimum period.

13.8 Notices

Notices to Dext in connection with this Agreement should be sent to: dpo@dext.com or to Dext Software Limited at its registered office address. Notices from Dext to you will be sent to the email address associated with your Dext account.

13.9 Governing Law and Jurisdiction

This Agreement and any dispute or claim arising out of or in connection with it (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales. Each party irrevocably submits to the exclusive jurisdiction of the courts of England and Wales to settle any dispute or claim arising out of or in connection with this Agreement.
