These Terms and Conditions ("Terms") govern your participation in the Dext SMB Referral Program (the "Referral Program"). By participating in the Referral Program, you ("Referrer" or "You") agree to be bound by these terms.

1. DEFINITIONS

• In this Terms, the following terms shall have the following meanings:

“Company” or “Dext” or “We” or “Us” means Dext Software Limited and its affiliates.

“Referee” means a prospective customer referred to Dext by you using your Referral Link.

“Referral Link” means the unique referral link provided to you for use in the Referral Program.

“Referral Reward” means the monetary reward payable to You in accordance with clause 4.

“Company Product” means Dext's products as provided on the dext.com platform and mobile application.

“Customer Transaction” means a successful purchase of a Company Product by a Referee following use of your Referral Link.

 

2. ELIGIBILITY

2.1. To participate in the Referral Program, you must:

• Be an existing Dext customer with an active subscription;
• Be aged 18 or over;
• Have the legal capacity to enter into this Terms; and
• Comply with all terms of your existing Dext subscription.

2.2. Dext reserves the right to refuse participation in the Referral Program to any individual or entity at its sole discretion.

 

3. REFEREE OFFER

3.1. Referees who sign up to Dext using your Referral Link will be eligible to receive:

• 20% discount for 3 months on a monthly subscription plan; or
• 20% discount for 1 year on an annual subscription plan.

3.2. The discount is only available to new Dext customers who have not previously held a Dext subscription.

3.3. The discount cannot be combined with any other promotional offers unless expressly stated by Dext.

 

4. REFERRER REWARDS

4.1. You will receive a Referral Reward of $70 (USD) (or currency equivalent based on your account location) for each successful Customer Transaction, subject to the conditions set out in this clause 4.

4.2. For Monthly Plan Referrals:

• The Referral Reward is payable only after the Referee has completed 3(three) full consecutive months as a paying customer (i.e. three paid invoices have been processed).
• If the Referee cancels their subscription, requests a refund, or fails to pay any invoice before completing the 3-month period, no Referral Reward will be paid.
• The 3-month period begins from the date of the Referee's first paid invoice.

4.3. For Annual Plan Referrals:

• The Referral Reward is payable immediately after the Referee's paid annual subscription is confirmed and payment has been successfully processed by Dext.
• If the Referee subsequently cancels and receives a refund of their annual subscription, the Referral Reward will be clawed back and deducted from any future Referral Rewards owed to you, or you may be required to repay the amount to Dext.

4.4. Referral Limits:

• You may refer an unlimited number of customers under this Referral Program.
• Dext reserves the right to impose reasonable limits on referrals at any time by providing you with written notice.

 

5. ACCEPTANCE AND VALIDITY OF REFERRALS

5.1. To be eligible for a Referral Reward, the following conditions must be met:

5.1.1. The Referee must be a new customer who:

• Has not previously held a Dext subscription;
• Is not an existing Dext customer or historic customer;
• Is not already in Dext's active sales process within 30 days prior to your referral; and
• Is not the subject of another active referral.

5.1.2. The Referee must complete their purchase (i.e., become a paying customer) within 30 days of clicking on your Referral Link. If they purchase after this period, you will not be eligible for a Referral Reward.

5.1.3. You must not use your own Referral Link to purchase Company Products for yourself or for any entity in which you have a financial or similar interest.

5.1.4. The Referee's subscription must remain active and in good standing (i.e., all invoices paid on time) for the applicable qualification period as set out in clause 4.2 or 4.3.

5.2. Dext reserves the right to determine, in its sole discretion, whether a Referee qualifies as a valid referral under this Terms.

 

6. PAYMENT OF REFERRAL REWARDS

6.1. Referral Rewards will be paid for all eligible Customer Transactions that have met the qualification criteria set out in clause 4.

6.2. All payments will be made through the Referral Program platform (‘Partnerstack’), via a method as agreed between you and Partnerstack, and in the currencies supported by Partnerstack.

6.3. You must provide Dext and Partnerstack with accurate and complete payment information, including any required tax documentation.

6.4. All Referral Rewards are subject to applicable taxes, and you are responsible for reporting and paying any taxes due on Referral Rewards received.

6.5. Referral Rewards are calculated and stored in British Pounds (GBP) or United States Dollars (USD) depending on your account location.

 

7. YOUR OBLIGATIONS

7.1. You agree to:

• Use your Referral Link in accordance with this Terms and all applicable laws;
• Not engage in spamming, misleading advertising, or deceptive practices;
• Clearly disclose your referral relationship with Dext to any Referees;
• Not use paid advertising to promote your Referral Link on Google Ads, Facebook Ads, or any other platform where you would compete directly with Dext's own advertising;
• Not make any representations or warranties on behalf of Dext;

 

7.2. You shall indemnify and hold harmless Dext against any liability, loss, damage, cost, or expense arising from:

• Your breach of this Terms;
• Your failure to disclose your referral relationship with Dext to Referees;
• Any misleading, deceptive, or unlawful conduct in connection with the Referral Program; or
• Any claims brought by Referees in connection with your referral activities.

 

8. DEXT'S RIGHTS

8.1. Dext reserves the right to:

• Modify, suspend, or terminate the Referral Program at any time with or without notice;
• Reject any Referee or Customer Transaction in its sole discretion;
• Withhold or cancel Referral Rewards if we suspect fraud, abuse, or breach of this Terms;
• Change the Referral Reward amounts or qualification criteria upon 30 days' written notice to you.

8.2. Dext may terminate your participation in the Referral Program immediately if you:

• Breach any term of this Terms;
• Engage in fraudulent or abusive conduct;
• Use misleading advertising or deceptive practices;
• Violate any applicable laws or regulations; or
• Terminate your own Dext subscription.

 

 

9. DATA PROTECTION AND PRIVACY

9.1. Dext will process any personal data collected or received in connection with this Terms in accordance with its Privacy Policy, available at www.dext.com/privacy-policy.

9.2. You shall comply with all applicable data protection and privacy laws, including the UK GDPR and Data Protection Act 2018, when collecting, using, or sharing personal data in connection with the Referral Program.

 

10. INTELLECTUAL PROPERTY

10.1. All intellectual property rights in the Company Products, Dext brand, trademarks, logos, and marketing materials remain the exclusive property of Dext.

10.2. You are granted a limited, non-exclusive, non-transferable license to use Dext's name and logo solely for the purpose of promoting the Referral Program in accordance with this Terms.

10.3. You must comply with any brand guidelines provided by Dext and must not alter, modify, or create derivative works of Dext's intellectual property.

 

11. LIABILITY

11.1. Dext shall not be liable for any indirect, consequential, special, or punitive damages, including loss of profits, revenue, data, or business opportunities.

 

12. TERM

The Referral Program shall continue indefinitely until Dext decides to withdraw or amend the Referral Program

 

13. GENERAL

13.1. This Referral Program is subject to the general terms and conditions that apply and govern the usage of the Dext products found at https://www.dext.com/terms-and-conditions (the “Standard Software Terms”). Capitalised terms used and not otherwise defined in these Terms shall have the meaning given to them in the Standard Software Terms, and if there is an inconsistency between these terms and conditions and the Standard Software Terms, these terms and conditions shall prevail

13.2. Amendments: Dext may update or modify these terms at any time. We will notify you of changes via email or through the Referral Program platform. Your continued participation in the Referral Program following such notification constitutes acceptance of the revised terms.

13.3. No Partnership: Nothing in this Terms creates a partnership, joint venture, agency, or employment relationship between you and Dext.

13.4. Assignment: You may not assign or transfer your rights or obligations under this Terms without Dext's prior written consent. Dext may assign this Terms to any affiliate or in connection with a merger, acquisition, or sale of assets.

13.5. Severability: If any provision of this Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

13.6. Waiver: No waiver of any term of this Terms shall be deemed a further or continuing waiver of such term or any other term.

13.7. Governing Law: This Terms shall be governed by and construed in accordance with the laws of England and Wales, and you submit to the exclusive jurisdiction of the English courts.
